Bill Singer's Comment: Once again we see that NASD is focusing on so-called "red flag" issues.  Also, note that the escrow issues that started to pop up in 2006 are continuing in 2007.  Finally, note the very severe sanction that prohibits private offerings for 30 days and the suspension of the right to accept/hold securities until the adoption/implementation of the consultant's written report.  A very creative sanction.  Now let's see if such creativity is applied even-handedly to larger firms.
